Terms of Service
These Terms govern your access to and use of the Nuha Chat platform and related services.

These Terms of Service ("Terms") form a legal agreement between you and [Company Legal Name] (Registration No. [Company Registration Number]) ( "Nuha Chat", "we", "us", or "our"). By creating an account, accessing, or using Nuha Chat (the "Services"), you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Account registration
You must provide accurate and complete information when creating an account and keep it up to date. You are responsible for safeguarding your login credentials and for any activity under your account. You must be at least 18 years old and authorized to enter into these Terms on behalf of your business.
2. Workspaces and team access
Each workspace is owned by the entity that creates it. The workspace owner may invite team members and assign roles and permissions. The owner is responsible for managing access, ensuring team members comply with these Terms, and for any actions taken inside the workspace.
3. Acceptable use
You agree to use the Services lawfully and in good faith. You may not use Nuha Chat to send unsolicited spam, distribute illegal content, harass any person, or otherwise violate the rights of others.
4. WhatsApp Official and Meta compliance
When you connect WhatsApp Official / Meta Cloud API through Nuha Chat, you must comply with all applicable Meta and WhatsApp policies, including the WhatsApp Business Messaging Policy, WhatsApp Commerce Policy, and Meta Platform Terms. You are responsible for the content of all messages sent via your connected number(s) and for any suspension or penalty imposed by Meta as a result of your activity.
5. Customer consent and message content
You are solely responsible for obtaining valid opt-in and consent from your customers before adding them to Nuha Chat, sending broadcasts or service messages, or automating conversations. You must honour opt-out requests promptly and comply with all applicable privacy and consumer protection laws including the Malaysian Personal Data Protection Act 2010.
6. Automation and broadcast usage
Automation rules, templates, and broadcast campaigns must respect rate limits, message quality guidelines, and template approval requirements set by Meta. We may suspend automation or broadcast features if we detect abuse, low quality scores, or risk to platform integrity.
7. Plans, billing, and cancellation
Paid plans are billed in advance on a recurring basis (monthly or annual) based on the plan you select. Fees are non-refundable except where required by law. Free trials, when offered, automatically convert to paid subscriptions unless cancelled before the trial ends. You may cancel at any time; cancellation takes effect at the end of the current billing period. We may suspend or downgrade access if payments fail or quotas are exceeded.
8. Prohibited activities
You may not, and may not permit any third party to:
- Send spam, scams, or fraudulent messages.
- Distribute malware or harmful code.
- Engage in any activity that violates applicable laws.
- Attempt unauthorized access to the Services or other accounts.
- Scrape, copy, or reverse-engineer the Services.
- Use the Services to compete with or replicate Nuha Chat.
- Resell, sublicense, or white-label the Services without written approval.
9. Service availability
We strive for high availability but do not guarantee uninterrupted access. The Services may be temporarily unavailable due to maintenance, third-party provider issues (including Meta / WhatsApp), or factors outside our control.
10. Data ownership
You retain all rights to your business data, customer data, and conversation content ("Customer Data"). You grant Nuha Chat a limited, non-exclusive licence to host, process, and transmit Customer Data as necessary to provide the Services.
11. Intellectual property
Nuha Chat, including its software, design, branding, and documentation, is owned by us and protected by intellectual property laws. We grant you a limited, non-transferable right to use the Services in accordance with these Terms.
12. Limitation of liability
To the maximum extent permitted by law, Nuha Chat shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total aggregate liability under these Terms shall not exceed the amount paid by you to Nuha Chat in the twelve (12) months preceding the event giving rise to the claim.
13. Termination
You may terminate your account at any time. We may suspend or terminate your access if you breach these Terms, misuse the Services, or pose a risk to other users, our infrastructure, or our Meta/WhatsApp integration. Upon termination, your right to use the Services will cease immediately.
14. Changes to these Terms
We may update these Terms from time to time. We will notify you of material changes through the Services or by email. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
15. Governing law
These Terms are governed by the laws of Malaysia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Malaysia.
